Haiwen Secures Favourable Outcome for Clients in Complex Cross-Border Arbitration

Haiwen & Partners is pleased to announce a positive result for its clients in a significant arbitration administered under the HKIAC Administered Arbitration Rules 2024, seated in Hong Kong and governed by Hong Kong law. The case concerns a high-value commercial dispute arising from a post-investment settlement arrangement between a private equity-backed investor and two Respondents, advised by Haiwen.

在仲裁庭于2025年10月下旬作出的部分裁决中，独任仲裁员驳回了申请人提出的大部分主张，包括：

In a Partial Award issued in late October 2025, the Sole Arbitrator dismissed the majority of the Claimant’s claims, including its application for:

• 宣告被申请人违约；

  a declaration of breach,

• 要求强制履行合同义务；以及

  an order for specific performance, and

• 要求依据承诺契约中的股份契约条款授予广泛禁令救济的申请。

  wide-ranging injunctive relief under the share covenant provisions of a Deed of Undertaking.

仲裁庭明确否定了申请人企图通过默示方式增加合同义务的主张，并裁定被申请人并未违反合同中任何明示或默示义务。仲裁庭进一步指出，申请人所寻求的强制履行在当前情形下既非必要，也不适当，因此予以拒绝。

The Tribunal rejected the Claimant’s attempts to imply new contractual obligations and held that the Respondents had not breached any express or implied terms of the agreement. The Tribunal also declined to order specific performance, recognising that the relief sought was neither necessary nor appropriate in the circumstances.

虽然裁决中就被申请人所持部分股份作出有限度的为防权利受损而申请的禁制令，但仲裁庭驳回了申请人提出的更为广泛的禁令请求，并强调目前不存在任何实际或即将发生的违反合同约定的行为。

While a limited quia timet injunction was granted in respect of a specific subset of shares, the Tribunal rejected broader claims for injunctive relief, and emphasised the absence of any actual or imminent breach of the governing covenants.
