Ms. Cai is a counsel of Haiwen & Partners.  Ms. Cai's practice focuses on M&A, private equity, fund formation, capital markets and general corporate.

Ms. Cai joined Haiwen in March 2014. From 2020 to 2021, Ms. Cai was a senior associate of Haiwen & Partners.

In the areas of M&A and private equity transactions, Ms. Cai represents both corporations with financing needs and investors. Ms. Cai's clients include Neusoft Group, Neusoft Xikang, Shanghai Teyu Semiconductor Technology, Xigua Music, iQIYI, Tencent, Tencent Music, Sinopharm-CICC, SAIF, BOCGI, CCB Trust, Pagoda Investment, etc. Ms. Cai's representative experience includes representing Neusoft Group on its sale of shares in its two subsidiaries to Goldman Sachs, Hony Capital and other strategic investors, representing Neusoft Xikang on its financing from 6 Dimensions Capital, representing Shanghai Teyu Semiconductor Technology with respect to the share transfer to a Japanese corporation, representing Xigua Music on its financing from an investor, representing iQIYI in its investment in Dongyang Haohan, representing Tencent in its investment in Shannon AI, representing Tencent Music in its investment in Canxing Culture, representing Tencent on its several private equity investments in online game and comic sectors, representing Sinopharm-CICC in its investment in SS Innovations, representing SAIF in its investment in Espressif Systems.

In the area of fund formation, Ms. Cai represents fund sponsors in forming various funds, including USD-denominated blind-pool funds, project funds, and USD and RMB denominated parallel funds.  She also advises investors on their investments in funds.  Ms. Cai's recent representative projects include representing Alibaba, Hillhouse in participations in USD-denominated funds and RMB-denominated funds, representing Yongjin Group in setting up its USD and RMB denominated parallel funds, representing Temasek in its investment in a single-project fund, representing MineOne Partners in setting up its USD-denominated fund, representing iQIYI in its participations in a RMB-denominated fund.

In the area of capital markets transactions, Ms. Cai has represented both issuers and underwriters in numerous equity and bond offerings.  Ms. Cai's representative experience includes initial public offerings of China Reinsurance (Group), China Maple Leaf Educational Systems, Zhejiang Cangnan Instrument Group, ABS of Minmetals Development, and offshore bonds offerings of Export-Import Bank of China, CMB, CMB Financial Leasing, COFCO, Capital Environment, Sunshine Life Insurance, and Wanda Commercial Management Group, etc.

In the area of general corporate, Ms. Cai's representative clients include iQIYI, Neusoft Xikang, Changyou, HP China, etc.

Ms. Cai received her LL.B. degree and LL.M. degree from China University of Political Science and Law, and University of Illinois at Urbana-Champion in 2012, 2013 respectively.  Ms. Cai passed PRC Bar Exam and New York Bar Exam in 2011 and 2013 respectively. 

Ms. Cai's native language is Mandarin, and she speaks English fluently.
