Ms. Huang is Counsel of Haiwen & Partners.  Ms. Huang's practice focuses on asset management, investment and M&A, establishment, general corporate and compliance matters in respect of financial institutions.  

Ms. Huang joined Haiwen in 2015, and during her practice, she has been seconded to Taikang Asset and Goldman Sachs Gao Hua Securities to assist the company on legal and compliance matters.

Asset Management 

● assisted CIC, CICC, China Jianyin Investment, etc. in connection with establishment of private fund managers;

● assisted Taikang in its investment in certain logistics infrastructure funds, equity investment funds and venture capital funds launched by CBRE, GLP, Firstred and Northern Light Venture Capital;

● assisted China Huadian Capital in its investment in certain equity/ securities investment funds and single/collective trust schemes;

● assisted CICC in reviewing the business agreements related to private equity investment funds and private asset management schemes launched by CICC;

● assisted Beijing Gao Hua Securities in distribution of private funds.

Investment and M&A

● advised Ageas on its acquisition of 25% interest in Taiping Reinsurance;

● assisted CIC Capital on investment in Ant Group, LinkDoc and certain offshore real estates;

● assisted Agricultural Fund to transfer its shares in COFCO Fortune;

● advised Taikang on investment in Harmonicare Medical and certain offshore real estates;

● assisted Hillhouse on investment in WeDoctor;

● advised Advent International on its proposed acquisition of a pest control services provider, etc.

Financial Institutions

● advised Goldman Sachs in connection with the equity and business restructuring between Goldman Sachs Gao Hua Securities and Beijing Gao Hua Securities, including the equity restructuring and/or business license applications of securities company, futures company and alternative investment sub;

● advised Taikang Asset, Taikang Investment, Goldman Sachs Gao Hua Securities, Beijing Gao Hua Securities, China Cinda Asset, Sanxia Guarantee, etc. in connection with general corporate and compliance matters;

● seconded to Taikang Asset to assist with compliance matters of related-party transactions (for half a year);

● seconded to Goldman Sachs Gao Hua Securities to assist with legal affairs (for almost a year).

Ms. Huang has also provided legal services in the capital markets area, including advising New Guomai Digital Culture on its material asset restructuring, HK listing of Evergreen Products Group, bond issuance of CICC, Shanghai Electric, Sanxia Guarantee, etc.

Ms. Huang received her LLB and LLM from China University of Political Science and Law (CUPL) in 2012 and 2015, respectively.

Ms. Huang is a native Mandarin speaker and is fluent in English.
