ZHANG Yushi is a Partner, resident in the Beijing office. Her practice focuses on dispute resolution and general corporate. She represented clients in disputes before the Supreme People's Court and other People's Courts, and also before arbitration commissions such as CIETAC and BAC, assisting clients in resolving difficult and complex disputes. She also provided legal services on general corporate work for a number of companies.

Disputes over Investment Agreements

• Represented a limited partnership as a third party in the dispute over repurchase of shares between its LP, the invested company and the actual controllers of the invested company before the Supreme People’s Court of the PRC and Anhui Higher People's Court;

• Represented a private enterprise in its dispute over the transfer of rights under an asset management plan with a bank before one Intermediate People's Court in Beijing;

• Represented an asset management company as a trustor in a contractual dispute with the trustee, another trustor and the debtor of the trust plan before one Intermediate People's Court in Beijing;

• Represented a Hong Kong partnership in its dispute over repurchase of shares with the actual controller of the invested company before CIETAC;

• Represented a Cayman fund in its dispute over fund contract with one of its investors before CIETAC;

• Represented a securities company as the creditor in its dispute over stock repurchase with its debtors before one Intermediate People's Court in Beijing;

• Represented an insurance company in its dispute over a share transfer contract with the invested company and the transferee before BAC;

• Represented an investment management company in its dispute over a share transfer contract with the transferee before one Intermediate People's Court in Beijing;

Disputes over Loan Agreements

• Represented a local commercial bank in its dispute over several loan contracts with several companies before Henan Higher People's Court and one Intermediate People's Court in Henan;

• Represented a Malaysian bank in its dispute over letters of credit and trust receipt borrowings with borrowers before Guangdong Higher People's Court and one Intermediate People's Court in Guangdong;

• Assisted an asset management company to apply for a certificate of execution as to its dispute over a loan contract with borrowers, mortgagors and guarantors;

• Represented a natural person in his dispute over a loan contract with the debtor before one Grass-roots People's Court in Beijing;

Disputes over Sales Agreements, Lease Agreement and Service Agreements

• Represented a well-known Thailand based company in its dispute over a built-to-lease contract with a well-known supermarket before CIETAC and the dispute over the revocation of the arbitration award before one Intermediate People's Court in Beijing;

• Represented an enterprise with foreign investment in the medical device industry in its dispute over a lease contract with a lessor before CIETAC;

• Represented an enterprise with foreign investment in the medical device industry in its dispute over distribution agreement with its distributor before CIETAC and the dispute over the revocation of the arbitration award before one Intermediate People's Court in Beijing;

• Represented a leading US based IT products and services company in its disputes over several supply and service contracts before CIETAC and several local courts;

• Represented a leading US based software company in its dispute over a service agreement with its supplier before one Intermediate People's Court in Beijing;

• Represented a software company in its dispute over amounts receivable under several contracts with its business partners;

• Represented an insurance company in its dispute over service contracts with its suppliers before one Grass-roots People's Court in Beijing;

• Represented an enterprise with foreign investment in the medical device industry in its dispute over a service contract with its supplier before one Grass-roots People's Court in Beijing;

• Represented a leading Germany based company in gas supply industry in its dispute over a gas supply agreement with its gas buyer before one Fujian Intermediate People's Court;

• Represented an Australian food trading company in its dispute over a contract for the international sale of goods with a PRC buyer before one Grass-roots People's Court in Hebei;

• Represented a state-owned enterprise in its disputes over several sales contracts with its grain supplier before one Grass-roots People's Court in Beijing;

• Represented a natural person in her dispute over a house purchase agreement with the buyer before one Grass-roots People's Court in Beijing;

Disputes Related to Entertainment

• Represented a film company in its dispute over a film investment and joint production agreement with its investor before one Intermediate People's Court in Beijing;

• Represented a media company in its dispute over the copyright infringement of a famous network novel with the infringer before one Grass-roots People's Court in Beijing;

Administrative Disputes

• Provided legal services to the Ministry of Finance and assisted it in handling numerous administrative reconsideration cases and administrative litigation disputes;

Enforcement and Bankruptcy

• Applied for enforcement of court judgments, mediation decisions, arbitration awards and notarized enforcement certificates on behalf of several clients in several courts across the PRC in several cases mentioned above;

• Represented the receiver of an insolvent company in several construction projects disputes with its subcontractors before courts in Beijing and other province, Nanjing Arbitration Commission and Urumqi Arbitration Commission;

• Represented the receiver of an enterprise invested by the local government of Beijing in its dispute over invalidity of the settlement agreement with its creditor before one Intermediate People's Court in Beijing;

• Represented several domestic and overseas clients respectively as creditors in several bankruptcy proceedings to declare credits and exercise the rights of creditors;

Debt Restructuring Cases

• Assisted an offshore bank in dealing with debt restructuring with several onshore debtors, including assisting in designing the transaction structure, participating in negotiations and drafting transaction documents;

• Assisted a local commercial bank in dealing with debt restructuring with its debtors, including assisting in doing due diligence, designing the transaction structure and drafting transaction documents;

• Represented a private enterprise in its dispute over transfer of shares of partnership with another private enterprise before one Intermediate People's Court in Beijing and assisted this client in dealing with the subsequent debt restructuring, including assisting in designing the transaction structure and drafting transaction documents;

General Corporate and other Legal Services

• Provided legal services to multiple clients, including analyzing litigation/arbitration risk and providing strategic advice on potential disputes, drafting and reviewing agreements, providing legal opinions, doing investigations, and providing legal trainings to clients;

• Assisted clients in drafting wills and other documents.

ZHANG Yushi received her LL.B. and B.A. in Economics from Peking University in 2011, and received her Master of Laws (in civil and commercial law) from Peking University in 2013. 

Ms Zhang’s native language is Mandarin, and she speaks English fluently.
