Ms. Chi is the Partner of Haiwen & Partners. Ms. Chi has over 9 years of legal experiences. Ms. Chi’s practice focuses on mergers and acquisitions, private equity investments, capital markets, general corporate as well as transactions in connection with financial institutions or financial industry.

Ms. Chi joined Haiwen in 2012.

In the area of M&A transactions and PE investments, Ms. Chi has extensively represented international financial institutions, multinational corporations and international private equity firms, as well as large Chinese enterprises, including both SOEs and non-SOEs, for their M&A transactions and PE investments. Ms. Chi’s recent experience includes advising: Temasek in its setting up a joint venture wealth management company together with BlackRock and CCB Wealth Management; China Life in its acquisition of China Guangfa Bank Co., Ltd. from Citigroup Inc. and IBM Credit LLC; China Guangfa Bank in its issuance new shares to strategic investors; Deutsche Bank in its sale of equity interests in Hua Xia Bank Co., Ltd. to PICC; Banco Bilbao Vizcaya Argentaria, S.A. (BBVA) in its sale of equity interests in China CITIC Bank; OCBC Bank of Singapore in its private buyout of Wing Hang Bank of Hong Kong; China Mobile in its establishment of China Merchants Life Insurance together wither other partners; Zhendong Pharmacy in its sale of Langdi Pharmacy to FountainVest Partners, etc. Ms. Chi also represented many sovereign fund, PE firms and financial institutions for their investments and M&A transactions in China, including without limitation Temasek, Warburg Pincus, Bain Capital, Hillhouse Capital, China Mobile Capital, China Life, etc.

In the area of capital markets transactions, Ms. Chi has represented clients in numerous equity and bond offerings on the domestic and overseas stock exchanges. Representative transactions include the China Mobile's initial public offerings of A shares; the onshore and offshore offerings of preferred shares of China Construction Bank; the private placements of A shares, preferred shares and many kinds of financial bonds of Ping An Bank; the private placements of A shares, H shares and corporate bonds of Huaneng Power International; advising Hillhouse Capital for the portfolio sale in a structured transaction of  cash, shares and CB consideration with Zhejiang Hisun Pharmaceutical; the restructuring of China COSCO Group and China Shipping Group, etc.

Ms. Chi has also advised a number of public companies and private companies, including Huaneng Power International (600011.SH，00902.HK), Industrial and Commercial Bank of China (601398.SH，01398.HK), Ping An Bank (000001.SZ), New China Life Insurance (601336. SH, 01336.HK), Temasek, China Mobile Capital, China Life PE, in connection with matters of PRC laws.

Ms. Chi received her LL.B. and Master of Laws degrees from Renmin University of China in 2010 and 2012 respectively, and her LL.M. degree from New York University School of Law in 2020.

Ms. Chi's native language is Mandarin, and she speaks English fluently.
