The article examines the recent Hong Kong Court of First Instance and Court of Appeal decisions in HyalRoute Communication Group Limited v Industrial and Commercial Bank of China (Asia) Limited ([2025] HKCFI 2417; [2025] HKCA 936) and considers their implications for Hong Kong law-governed arbitration agreements in the context of offshore winding-up proceedings.

In the article, Edward analyses the courts’ approach to the relationship between party autonomy, contractual agreements to arbitrate and foreign insolvency processes. He considers, in particular, the interpretation of arbitration clauses requiring disputes to be “finally resolved” by arbitration, the relevance of foreign-law characterisations of insolvency proceedings, and the role of merits-based analysis in applications for relief intended to protect the parties’ agreed dispute resolution mechanism.
