Ms. Gu is a counsel of Haiwen & Partners.  Ms. Gu's practice areas focus on capital market, mergers & acquisitions and private equity investment.

Ms. Gu joined Haiwen in 2015. 

In the area of capital market transactions, Ms. Gu has represented both issuers and underwriters in numerous equity and bond offerings on the HKSE, NYSE, NASDAQ and SHSE. Representative transactions include:

● IPO and listing of Lufax on NYSE, representing issuer in 2020 – Awarded “Deal of the Year 2020” by China Business Law Journal;

● Dual Introduction Listing of Lufax on the Main Board of HKSE;

● Dual Introduction Listing of OneConnect on the Main Board of HKSE;

● IPO and listing of Dada Nexus on NASDAQ;

● IPO and listing of OneConnect on NYSE;

● IPO and listing of Ping An Healthcare on the Main Board of HKSE;

● Listing of Longhui International on the Main Board of HKSE;

In the area of M&A and PE transactions, Ms. Gu's recent experience includes advising:

● Ping An Healthcare in connection with its acquisition of Wanjia Healthcare;

● CICC funds in connection with several investment transactions;

● Ping An Healthcare in connection with its restructuring and Pre-IPO round financing;

● XD Inc. (02400. HK) in connection with its acquisition of Lean Cloud;

● Wuzhong High-tech in connection with its acquisition of logistics industrial parks;

● Youon Technology (600376) in connection with its cross-border investment in a U.K. company;

● Lufax in connection with its restructuring and acquisition of Ping An Puhui;

● Shanghai Shark Basketball Club in connection with its financing;

● Shanghai Red Star Macalline Film in connection with several acquisitions of cinemas;

● Shanghai Summit in connection with its acquisitions of real estate companies;

● PAG in connection with its sale of real estate companies.

Ms. Gu obtained her LL.B. degree from the East China University of Political Science and Law in 2014, and her LL.M. degree from University College London in 2015.

Ms. Gu's native language is Mandarin, and she speaks English fluently.
