    Ms. Cheng focuses on advising PRC enterprises and international clients on capital markets transactions, compliance with the Hong Kong Listing Rules, and general corporate matters. She has extensive experience in post-listing compliance, equity and debt offerings, and cross-border transactions involving Hong Kong-listed companies.

    Prior to joining Haiwen & Partners in 2023, Ms. Cheng worked for several years at Linklaters LLP (Beijing Representative Office).

  • Experience Highlights

    Ms. Cheng has extensive experience advising large PRC enterprises on post-listing compliance matters in Hong Kong. Companies she has advised include dual-listed issuers such as China Shenhua, Sinopec Corp., CITIC Securities, ICBC, China Railway, CSSC Offshore & Marine Engineering, China Southern Airlines, Guangshen Railway, Guangzhou Baiyunshan, JL MAG Rare-Earth, Central China Securities, and SMIC. She has also advised H-share issuers including CIRC, PICC P&C, BAIC Motor, UCD, Harbin Bank, AviChina, and Beida Jade Bird. Other Hong Kong-listed companies she has advised include Sinofert Holdings, Sinopec Kantons, Tong Ren Tang Chinese Medicine Company Limited, China Shengmu, AAG, Sunfonda, and China Merchants Port.

    Her experience in Hong Kong capital markets transactions includes advising on: China Shenhua Energy’s share issuance for asset acquisition (the largest A-share asset acquisition by way of share issuance in the A-share market); CITIC Securities’ A+H rights issue (the largest A+H refinancing by a PRC securities company); China Southern Airlines’ non-public issuance of A and H shares; Central China Securities’ non-public A-share issuance; H-share placings by BAIC Motor, Zheshang Bank, JL MAG Rare-Earth and Breton; China Railway Group’s spin-off and listing of CRRC High-Tech Equipment on the NEEQ and subsequent transfer listing on the STAR Market; China Railway Group’s market-oriented debt-to-equity swap project; IPOs and Hong Kong listings of DFZQ and Sunshine Insurance; Postal Savings Bank of China’s A-share IPO and listing on the Shanghai Stock Exchange; and Offshore preference share issuances by Industrial and Commercial Bank of China, Postal Savings Bank of China, China Cinda Asset Management, China Huarong Asset Management, Zheshang Bank and Harbin Bank.
