Ms. Li represents fund sponsors in forming various funds, including USD-denominated blind-pool funds, project funds, and USD- and RMB-denominated parallel funds. She also advises fund sponsors on their internal arrangements, operational compliance and downstream investments. In addition, she represents different investors in connection with their investments in private equity funds.
Ms. Li’s recent experience includes acting for leading fund sponsors and investors such as Alibaba, Ant Group, Bits x Bites, Challenjers Capital, CFTC Capital, ewpartners, Elite Capital, Harvest Fund, Hillhouse Capital, Hua Capital, Redefine Capital, Shixiang Tech, ShoreVest Capital and Temasek. Her other clients include BOCGI, BOCOM International, CCB Trust, CICC, Dongxing Securities, Surrich International, ZGC International, certain other PRC banks and high-net-worth individuals.
Ms. Li’s recent representative projects include:
● representing BOCOM International and BOCGI in their investments in Victoria Harbour Nexus Innovation LPF (the first fund successfully closed under the Hong Kong ITVF enhanced scheme);
● representing Shixiang Tech in setting up its first blind-pool fund dedicated to investments in the artificial general intelligence (AGI) sector, with a target size of approximately US$500 million;
● representing ShoreVest Capital in setting up its third blind-pool special opportunities fund, with a target size of approximately US$300 million;
● representing Alibaba in its investments in several USD-denominated funds and RMB-denominated funds;
● representing BOCGI in its investments in several USD-denominated funds;
● representing Challenjers Capital in setting up its first USD-denominated private equity fund dedicated to investments in the consumer sector, with a total size of approximately US$500 million;
● representing Temasek in its first investment in a QFLP fund;
● representing Source Code Capital in setting up a number of single-project funds;
● representing Fountainhead Capital in setting up its first USD-denominated token fund;
● representing Dongxing Securities in setting up a Hong Kong Open-ended Fund Company and its three sub-funds;
● representing Hillhouse Capital in setting up its USD- and RMB-denominated parallel funds, with a combined size of over RMB600 million;
● representing Hillhouse Capital in its investments in two USD-denominated funds;
● representing 3W Capital in setting up a single-project fund (with a total size of approximately US$50 million);
● representing CCB Trust in setting up around 60 single-project funds for a number of sizeable private equity investments;
● representing CCB Trust in setting up its first and second mutual funds; and
● representing Hua Capital in setting up a separately managed account fund.
Ms. Li earned an LL.B. from Beijing University of Posts and Telecommunications, an LL.M. from the Chinese University of Hong Kong, and a Juris Doctor from City University of Hong Kong. She is admitted to practice New York law.
